1. Agreement to Terms
DayOne ("the App") is operated by NxtStop LLC, a New Jersey limited liability company ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the DayOne mobile application and related services (the "Service").
By downloading, installing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and located in the United States to use the Service. By using the Service, you represent that you meet these requirements.
3. Account and Registration
You may need to create an account (e.g., via Apple or Google Sign-In) to access certain features. You are responsible for maintaining the confidentiality of your account and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use.
4. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks
- Reverse engineer, decompile, or disassemble the App or any part of the Service
- Use the Service to transmit malware, spam, or any harmful or illegal content
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service for any commercial purpose without our prior written consent (except for your personal, non-commercial wellness use)
5. Subscriptions and Payments
Certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and terms are presented in the App and are processed by Apple (App Store). Payment will be charged to your Apple ID account. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may manage and cancel subscriptions in your device's App Store account settings. Refunds are subject to Apple's policies. We do not store your payment card details.
6. Health and Wellness Disclaimer
The Service is for informational and motivational purposes only and is not a substitute for professional medical, nutritional, or fitness advice. DayOne provides tools such as meal scanning, body scanning, workout plans, and nutrition estimates. These are estimates and aids only. Always consult a qualified healthcare provider before starting any diet, exercise, or wellness program, especially if you have health conditions. We are not liable for any injury, loss, or damage arising from your use of the Service or reliance on its content.
7. Intellectual Property
The Service, including the App, design, text, graphics, logos, and software, is owned by NxtStop LLC or its licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission. "DayOne" and related marks are our trademarks.
8. User Content
You retain ownership of content you create or upload (e.g., photos, notes, logs). By using the Service, you grant us a limited license to use, store, and process that content to provide and improve the Service, in accordance with our Privacy Policy. You are responsible for ensuring you have the right to submit such content and that it does not violate any law or third-party rights.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXTSTOP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless NxtStop LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time and may delete your account through the App or by contacting us. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive termination.
14. Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will indicate changes to the Terms by updating the "Last updated" date and may notify you of material changes via the App or email. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey and the United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in New Jersey, and you consent to personal jurisdiction there.
16. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision. These Terms constitute the entire agreement between you and NxtStop LLC regarding the Service.
